1. Applicability
1.1 These terms and conditions apply to all offers, quotations, agreements, and deliveries of marketing services and digital products provided by or on behalf of Overflow Digital, unless explicitly agreed otherwise in writing.
1.2 By signing an agreement, submitting payment, or making use of the Agency's services, the Client confirms they have read, understood, and accepted these terms.
1.3 These terms are publicly available on the Overflow Digital website and can be requested at any time via info@overflow-digital.com.
2. Services
2.1 Overflow Digital provides performance marketing services, including but not limited to: paid advertising (Meta, Google, TikTok), UGC creation, conversion rate optimisation (CRO), and creative strategy.
2.2 Services are provided on a project or retainer basis, as agreed in the applicable service agreement or proposal.
2.3 Overflow Digital operates as a dedicated growth partner. The Client is expected to maintain timely communication and provide necessary access, materials, and approvals to enable effective delivery.
3. Ownership of Deliverables
3.1 Upon receipt of full payment, all deliverables produced specifically for the Client — including ad creatives, UGC content, landing pages, and campaign assets — become the full property of the Client.
3.2 Overflow Digital retains no intellectual property rights, licensing fees, or ongoing obligations over delivered work once payment has been completed.
3.3 Overflow Digital retains the right to use anonymised or aggregated campaign data internally for benchmarking and service improvement purposes, without disclosing Client-specific information.
3.4 Any proprietary tools, frameworks, methodologies, or internal systems used by Overflow Digital during delivery remain the intellectual property of the Agency and are not transferred to the Client.
4. Payment & Formation of Agreement
4.1 All payments must be made via bank transfer or payment link within 14 days of the invoice date, unless stated otherwise in the agreement.
4.2 Services commence after payment has been received in full. Overflow Digital reserves the right to withhold delivery until payment is confirmed.
4.3 The Client remains fully responsible for payment, regardless of their level of engagement, participation, or use of services.
4.4 In the event of late payment, the Client is in default by operation of law. Overflow Digital is entitled to suspend services and charge statutory interest and reasonable collection costs.
4.5 All prices are exclusive of VAT. As Overflow Digital is operated by a non-EU entity, VAT is generally not charged. The Client is solely responsible for the correct tax treatment of invoices in their own administration.
5. No Refund Policy
5.1 Due to the strategic and performance-driven nature of our services, Overflow Digital does not offer refunds once services have commenced.
5.2 By submitting payment, the Client agrees that the right to cancellation is waived from the moment service delivery begins, to the extent permitted by applicable law.
5.3 Should the Client initiate a chargeback or reversal without valid legal grounds, Overflow Digital reserves the right to recover all resulting costs and damages from the Client.
6. Confidentiality
6.1 Both parties agree to treat all shared business information, strategies, data, and materials as strictly confidential.
6.2 The Client may not reproduce, distribute, resell, or disclose any proprietary content or strategies provided by Overflow Digital without prior written consent.
6.3 Breach of this clause will result in a penalty of €5,000, plus €500 per day for continued non-compliance, without prejudice to Overflow Digital's right to claim additional damages.
7. Liability
7.1 Overflow Digital is not liable for indirect damages, consequential loss, or loss of profit.
7.2 Overflow Digital's total liability — should any be established — is limited to the amount paid by the Client for the service in question.
7.3 The Client is solely responsible for how they implement strategies, creatives, or advice provided by Overflow Digital. Results depend on factors including platform conditions, budget, market dynamics, and Client execution.
7.4 Overflow Digital provides services on a best-efforts basis. No specific results, revenue figures, or ROI are guaranteed.
8. Force Majeure
8.1 Overflow Digital shall not be held liable for any delay or failure to fulfil obligations resulting from circumstances beyond its reasonable control, including but not limited to: platform outages, internet or telecom disruptions, pandemics, or government actions.
8.2 In such cases, obligations are suspended for the duration of the force majeure event. Both parties will work in good faith to resume delivery as soon as reasonably possible.
9. Amendments to Terms
9.1 Overflow Digital reserves the right to amend these terms at any time. Amendments will be communicated to the Client in writing or via email.
9.2 Should any provision be deemed invalid or unenforceable, the remaining provisions remain fully in effect.
10. Privacy
10.1 Personal data provided by the Client is processed solely for the purpose of delivering agreed services and maintaining the business relationship.
10.2 Overflow Digital handles all personal data in accordance with applicable data protection regulations. Our full privacy policy is available upon request.
11. Complaints
11.1 Complaints must be submitted in writing to info@overflow-digital.com within 14 days of the issue arising.
11.2 Submitting a complaint does not suspend the Client's payment obligations.
11.3 Overflow Digital commits to responding to all complaints within 5 business days.
12. Governing Law & Disputes
12.1 All agreements are governed by the laws of the Netherlands.
12.2 Disputes shall be submitted exclusively to the competent court in the district of Noord-Holland, location Haarlem.
12.3 Both parties commit to first attempting to resolve any dispute amicably and in good faith before initiating formal legal proceedings.
